Confidentiality Statement

CONFIDENTIALITY AGREEMENT

This AGREEMENT and acknowledgement is hereby made between American Internet Mortgage Inc. (AIM) and the undersigned employee (Employee).

WHEREAS, Employee is being employed by AIM for the purpose of assisting AIM in providing mortgage lending services; and

WHEREAS, AIM agrees to (1) furnish Employee with certain confidential information relating to the business of AIM and its customers and (2) allow Employee access to such books and records of AIM as Employee may reasonably require for the purpose of providing said mortgage lending services, which is disclosed to Employee in confidence; and

WHEREAS, certain Federal and state laws and regulations affecting the offering of financial services prohibit the unauthorized use or sharing of certain confidential information;

A. CONFIDENTIAL INFORMATION DEFINED

Said confidential information of AIM shall include the following information, whether in written or electronic form: (1) Any and all information on clients or prospective clients, including but not limited to names, addresses, phone numbers, email addresses, account information or other customer data; (2) Any and all information or materials developed by AIM that is not readily available to the general public, including but not limited to written and unwritten policies and procedures, forms, documents and trade secrets; and (3) Any and all data stored on AIM's computer system.

B. WHILE EMPLOYED AT AIM

While employed at AIM, Employee shall exercise his or her best effort to protect all such confidential information by complying with the following practices:

  1. All such confidential information shall be held by Employee in the strictest of confidence and be used only for the specific performance of Employee's job duties and not for any other purpose.

  2. Employee shall not disclose confidential information to any outside parties unless such party is a service provider with a need to know such information to perform their job duties relating to that specific transaction.

  3. Employee shall not remove any loan files from the office without the approval of a department manager.

  4. Employee shall return to the customer or shred any customer documentation containing account numbers or social security numbers that is no longer needed.

  5. Employee shall maintain strict control over his or her passwords allowing access to computer systems containing confidential information and immediately change his or her password if they have reason to believe others may have knowledge of the password.

C. AT CONCLUSION OF EMPLOYMENT WITH AIM

At the conclusion of his or her employment with AIM, Employee agrees to comply with the following terms of this agreement:

  1. Employee shall promptly return to AIM all confidential information, as defined in this agreement, that was supplied to Employee by AIM or obtained by Employee in the course of performing his or her work while employed at AIM.

  2. Employee shall not make or retain any written or electronic copies of confidential information, as defined in this agreement.

Employee and AIM agree that this agreement does not constitute an employment contract and that employment at AIM is at will.

By signing below, parties acknowledge that they understand and agree to the terms of this agreement.
